Here’s how to conduct a comprehensive IP evaluation before buying an advanced materials firm.
Catalog All Formal IP—Then Dig Deeper
Start with the obvious: ask for a full list of patents, trademarks, and copyrights. But don’t stop there.
Request:
Patent status and expiration timelines
Jurisdictional coverage (U.S., EU, Asia)
Pending applications and licensing agreements
Any encumbrances (disputes, liens, or third-party rights)

Understand How IP Is Used Operationally

Ask:
Which SKUs are built on protected IP?
How is proprietary process knowledge documented and safeguarded?
Could a competitor easily reverse-engineer core products?
If the value lies in a refractory mix ratio or polymer doping process that only two people understand—and neither plans to stay post-close—that’s a major red flag.
Evaluate Freedom to Operate
Don’t assume a clean patent means freedom to sell. Conduct a “freedom to operate” (FTO) analysis to identify any existing third-party IP that may pose infringement risks.
This is especially important in crowded fields like functional ceramics or UV-curable coatings, where overlapping patent claims can result in costly litigation down the line.
Gauge Defensive Strength
In strategic M&A, IP isn’t just about what you own—it’s about what you prevent others from doing. A strong patent portfolio can block competitors from entering a niche, forcing them to license or settle.
Consider:
Are there continuation patents or broad claims protecting product families?
Has the company successfully enforced IP in the past?
Is the portfolio strategically positioned in emerging use cases (e.g., 3D-printed bio-ceramics)?
